Terms of Service
1. Who we are and what these Terms cover
Effective date: September 9, 2026. Last updated: September 11, 2026.
These Terms of Service (the “Terms”) are a binding agreement between you and MTech Distributors LLC (“MTech,” “we,” “us,” or “our”), a New York limited liability company located at 9920 4th Avenue, Suite 310, Brooklyn, NY 11209. They govern your use of mtechdistributors.com, including our online store, quote tools, contact and application forms, the customer, agent and partner portals we operate, including the MTech portal hosted at mtechpayments.co, our text-message and email programs, and the AI assistant on the site (together, the “Services”).
By using the Services, creating an account, placing an order, sending us a form, or ticking a box that says you accept these Terms, you agree to them and to our Privacy Policy. If you do not agree, please do not use the Services.
Merchant processing, ATM programs, POS software subscriptions, leasing, financing, installation, maintenance, and partner or agent programs are usually covered by a separate application, order form, or signed agreement. Where a signed agreement conflicts with these Terms, the signed agreement controls for the services it covers.
2. Who may use the Services
The Services are for businesses and for adults acting on their own or a business’s behalf. You must be at least 18 and able to enter a binding contract. If you use the Services for a company or other organization, you confirm that you have authority to bind it, and “you” includes that organization.
3. Accounts
You can shop as a guest or create a store account. Sales agents, ISO offices and partners may be given portal accounts under their program agreement. Keep your details accurate and current, keep your password private, and tell us right away at support@mtechdistributors.com if you think someone else has used your account. You are responsible for activity under your account to the extent the law allows. We may suspend or close an account that is used in breach of these Terms, for fraud, or to protect other users, MTech, or our providers.
4. Quotes are not orders
Many products on the site show “Get Quote” rather than a price. A quote request, a quote cart submission, a callback request, or a statement review is a request for information. It does not create an order, reserve stock, or fix a price. A written quote from MTech is valid for the period stated on it; if none is stated, 30 days. Prices in a quote may change if specifications, quantities, or supplier costs change before you accept.
5. Orders, pricing and payment
Placing an order. A product listing is an invitation to order, not an offer. When you check out we send an automated confirmation with an order number; that confirms receipt only. We accept an order when we ship it or send you an express acceptance. Before shipment we may cancel an order for stock shortages, suspected fraud, a payment problem, a pricing or description error, a legal restriction, or another legitimate reason. If we cancel after taking payment, we refund the full amount to the original payment method.
Prices and tax. Prices are in US dollars and exclude shipping and tax unless stated. Sales tax is calculated at checkout based on the delivery address and collected where the law requires. Promotional codes must be applied before payment, may not be combined unless we say so, and may be withdrawn or corrected if issued in error.
Paying. We accept Visa, Mastercard, Discover and American Express through our payment processor. Your card details are entered directly into the processor’s secure fields and are tokenized; MTech never sees or stores your full card number or security code. By submitting payment you authorize MTech and its payment processor to charge the order total, including tax, shipping and any fee disclosed before you pay. Payment links we email for invoices or quotes are valid for 30 days. If a payment is declined or reversed, we may hold or cancel the order.
6. Shipping, delivery and risk of loss
We ship within the United States using UPS, USPS and other carriers offered at checkout. Shipping rates shown at checkout are quotes for the chosen service. Delivery dates are estimates unless we guarantee one in writing. If an order is delayed we will tell you and give you the notice, choice to wait or cancel, and refund that the law requires.
Title and risk of loss pass to you when the carrier accepts the package, unless the law says otherwise or you selected in-store pickup, in which case they pass when you collect it. Please inspect deliveries promptly and report shortages, damage or wrong items within the window in our Return & Refund Policy.
7. Returns and refunds
Returns, exchanges, cancellations, restocking fees and refunds are governed by our Return & Refund Policy and by any order-specific terms shown before purchase. In short: request a return within 30 days, get an RMA number before shipping anything back, and note that ATMs and POS systems cannot be returned simply because of a change of mind and that approved non-defective returns carry a 25% restocking fee. The Return & Refund Policy controls if it differs from this summary.
8. Warranties and repairs
Hardware we sell is covered by the manufacturer’s limited warranty against defects in materials and workmanship under normal use. Unless the product page or your invoice states a different term, that coverage runs for 12 months from the delivery date. Where a product page offers an extended two-year warranty as a paid add-on, the extension is added to the manufacturer’s coverage rather than replacing it, and its terms are those stated at checkout.
The manufacturer is responsible for its warranty; MTech is not the manufacturer unless we say so in writing. MTech coordinates claims on your behalf: submit them through the Warranty Request form on the site, and we will arrange repair, replacement, or, where neither is available under the warranty, a refund of the affected product. Warranties do not cover damage from misuse, accident, improper installation, unauthorized modification, power surges, liquids, or ordinary wear, and do not cover consumables such as paper and batteries. Out-of-warranty repairs through our repair center are quoted before work starts.
The website and its general information are provided “as is” and “as available.” Nothing here limits any implied warranty or consumer right that cannot lawfully be limited; if a written warranty or the law gives you more protection, that protection controls.
9. Services under separate agreements
POS software subscriptions, merchant processing, ATM placement and processing, gift-card, gateway, installation and similar services are provided under their own order forms or agreements with MTech and, where applicable, with a sponsor bank or processor. Those documents state the fees, term, renewal and cancellation rules for the service; these Terms apply to your use of the website alongside them.
10. Dual pricing and compliance
MTech configures dual-pricing (cash discount) programs and supplies signage and training. You remain responsible for operating your program in line with card-network rules, your processing agreement, and the laws of the states where you do business, including displaying the required notices to your customers. Information we provide about dual pricing, processing fees or savings is general in nature and is not legal, tax or accounting advice.
11. SMS/text messages, calls and email
By giving us your phone number and separately choosing to receive texts, for example by checking an unchecked SMS consent checkbox on a website form, you authorize MTech Distributors to send recurring SMS/text messages to that number. Messages may be automated or non-automated and may include customer-care and transactional messages about quote follow-ups, callback scheduling, order updates, delivery or setup updates, support ticket updates, onboarding or application status, account notices, and service updates. Consent to receive text messages is not a condition of purchase. Message frequency varies. Message and data rates may apply.
You can opt out of SMS/text messages at any time: reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END or QUIT. After you opt out, we may send one confirmation message and will then stop SMS messages unless you opt in again by replying START or UNSTOP or by giving us new consent. For help, reply HELP or INFO, email support@mtechdistributors.com, or call 888-411-7583. Wireless carriers are not liable for delayed or undelivered messages.
We do not share, sell, rent, release, transfer, disclose, or otherwise provide SMS opt-in data, mobile phone numbers, or SMS consent records to any third party or affiliate for marketing or promotional purposes. SMS opt-in data and consent are shared only with vendors who help us provide messaging under our instructions, such as Twilio and carrier/network providers, or where required by law. See our Privacy Policy for more details.
If you call us or we call you, we may monitor or record calls where allowed by law for training, quality, security and recordkeeping. You can unsubscribe from marketing emails using the link in the email. Transactional or service emails related to quotes, orders, support, applications or accounts may still be sent when needed to provide the Services.
12. AI assistant and site information
The AI assistant and automated features may use information you provide, page context, product data and prior conversation details to answer questions, route requests and help our team follow up. The assistant is supported by Gomega.ai, Anthropic and related hosting, logging and security providers. AI responses may be incomplete or inaccurate and are not legal, tax, financial, compliance or underwriting advice. Do not submit payment card numbers, Social Security numbers, bank account numbers or other sensitive information to the assistant unless a secure form specifically requests it.
13. Acceptable use
You may not use the Services to break the law; commit fraud; impersonate anyone; submit false information; upload malware; probe, bypass or interfere with security or anti-spam measures; scrape or harvest data without written permission; reverse engineer protected parts of the site; infringe anyone’s intellectual property or privacy; or disrupt another person’s use. We may investigate suspected misuse and restrict access where reasonably necessary.
14. Content, feedback and testimonials
The Services and everything on them, including text, graphics, logos, photographs, videos, software and design, belong to MTech or its licensors and are protected by intellectual-property law. We grant you a limited, revocable, non-transferable license to use the Services for lawful personal or internal business purposes. Do not copy, resell, republish or build derivative works from our content without written permission, except where the law expressly allows.
If you send us feedback or suggestions, we may use them without owing you anything and without identifying you. If you give us a review or testimonial, you grant MTech a royalty-free license to publish it, with your name and business name, on our website and marketing materials unless you tell us in writing that you would prefer it not be used; you can withdraw this permission at any time by emailing us. Trademarks of manufacturers such as Clover, Dejavoo, Valor, PAX and Hyosung belong to their owners; we use them only to identify their products.
15. Third-party services
The Services use third-party providers for hosting, database, content management, analytics, bot protection, email delivery, SMS/voice messaging, AI chat, payment processing, shipping, financing, equipment support and other functions. These providers include, as applicable, Vercel, Supabase, Sanity, Cloudflare, Google Analytics and related Google services, Microsoft 365, Resend, Twilio, Gomega.ai, Anthropic, ShipEngine, UPS, USPS, Valor PayTech, Dejavoo, processors, sponsor banks, carriers and equipment partners. Your use of third-party services may also be governed by their own terms and privacy notices. We are not responsible for third-party sites or services that we do not control.
16. Disclaimers and limitation of liability
To the fullest extent the law allows, MTech is not liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, goodwill or data, arising from the Services or a transaction. Our total liability for a product order will not exceed the amount you paid for the affected product, and for a claim involving only use of the website will not exceed the greater of $100 or the amount you paid MTech for website use in the preceding 12 months. These limits do not apply to liability that cannot legally be limited, to fraud, gross negligence or willful misconduct, to death or personal injury caused by negligence, or to non-waivable consumer rights. Where a jurisdiction does not allow an exclusion, it applies only to the extent permitted.
To the extent the law allows, a business user will indemnify MTech against third-party claims arising from that user’s unlawful use of the Services or material breach of these Terms, except to the extent caused by MTech.
17. Governing law and disputes
New York law governs these Terms, without regard to conflict-of-law rules. Except where consumer law requires another forum, disputes will be brought in the state or federal courts in Kings County, New York, and eligible claims may be filed in small-claims court. Before filing, please contact us at support@mtechdistributors.com so we can try to resolve the issue directly.
18. Changes, termination and general terms
We may change or discontinue features of the Services, and may end your access for a material breach, unlawful activity or a security risk. We may update these Terms by posting a new version with a new effective date; material changes get reasonable notice where the law requires, and the Terms in force when an order was accepted continue to govern that order. We are not responsible for delays caused by events beyond our reasonable control, such as natural disasters, carrier or supplier failures, network outages or government action.
You agree to receive notices, confirmations, invoices and other communications from us electronically, including by email and through your account, and that electronic records and signatures have the same effect as paper ones. If any provision is unenforceable it will be narrowed as needed and the rest stays in effect. A delay in enforcing a term is not a waiver. You may not assign these Terms without our written consent; we may assign them in a merger, reorganization or sale of the business. These Terms, the Privacy Policy, the Return & Refund Policy, applicable warranty documents and any signed agreement are the complete agreement for their subject matter.
